Terms of Service
The text below is the controlling English version. Translations are provided for convenience only; if they differ, the English version applies.
Effective date: September 2, 2026 Last updated: September 2, 2026
These Terms of Service ("Terms") are a binding agreement between you and Chrono Admin LLC ("ChronoAdmin," "we," "us," or "our") governing your use of the ChronoAdmin platform — our websites, web application, mobile applications, check-in tools, and related services (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE (1) A BINDING INDIVIDUAL ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 17) THAT AFFECT HOW DISPUTES ARE RESOLVED, WITH A 30-DAY RIGHT TO OPT OUT, AND (2) AN ASSUMPTION-OF-RISK ACKNOWLEDGMENT FOR IN-PERSON ACTIVITIES (SECTION 8).
1. Acceptance of these Terms
You accept these Terms by checking the box presented at account creation or checkout and clicking the associated button (for example, "Create Account" or "Pay"), or by otherwise affirmatively indicating acceptance where the Service presents these Terms for agreement. If you do not agree, do not use the Service.
If you accept these Terms on behalf of an organization, company, or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity.
2. Definitions
- "Organization" — a business or other entity (for example, a dance studio, fitness provider, or tutoring service) that uses the Service to manage its programs, sessions, participants, staff, and payments.
- "Organization Services" — the classes, sessions, programs, instruction, facilities, and any other goods or services provided by an Organization. Organization Services are not part of the Service.
- "Participant" — an individual who uses the Service to browse, enroll in, check in to, or pay for Organization Services, or whose information is entered into the Service by an Organization.
- "Organization Content" — content an Organization enters or uploads into the Service, including program and session descriptions, staff information, waiver text, pricing, and roster records.
- "Package" — a bundle of class credits offered by an Organization through the Service.
Part A (Sections 5–9) applies to Participants. Part B (Sections 10–12) applies to Organizations. All other sections apply to everyone.
3. What ChronoAdmin is — and is not
ChronoAdmin provides software: scheduling, enrollment, attendance and check-in tools, roster management, waiver signing and record-keeping, and payment collection.
CHRONOADMIN IS NOT A DANCE STUDIO, GYM, SCHOOL, INSTRUCTOR, OR PROVIDER OF ANY CLASS OR ACTIVITY. EACH ORGANIZATION — NOT CHRONOADMIN — IS SOLELY RESPONSIBLE FOR ITS ORGANIZATION SERVICES, including instruction quality, instructor qualifications, facilities, equipment, supervision, safety, schedules, pricing, refund policies, and compliance with all laws that apply to its business (including laws governing services to minors, licensure, and insurance). ChronoAdmin does not supervise, direct, control, endorse, or vouch for any Organization or Organization Service. Except for the limited payment-collection role described in Section 13, ChronoAdmin is not the agent of any Organization, and no Organization is the agent of ChronoAdmin.
4. Eligibility and accounts
4.1 Age. You must be at least 18 years old (or the age of majority where you live) to create an account. An individual aged 13–17 may use a Participant account only if a parent or legal guardian reviews these Terms, accepts them on their own behalf and on behalf of the minor, and supervises the minor's use; the parent or guardian is the contracting party and is responsible for all activity on the account. Children under 13 may not create or use accounts. An Organization or a parent or guardian may enter a child's enrollment and attendance information as roster records (see Section 11.3(b) and Section 9 of our Privacy Policy).
4.2 Account information. You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at support@chronoadmin.com of any unauthorized use. We may require email verification before or during your use of the Service.
4.3 Invitations. Some accounts are created through emailed invitations (for example, an Organization administrator invite). Invitation links are single-use and may require that the accepting account's email address match the invited address.
Part A — Terms for Participants
5. Enrollment, check-in, and waitlists
5.1 Enrollment. When you enroll in a session, your enrollment is confirmed when the Service records it — and, for paid enrollments, when payment is fulfilled. Card-payment fulfillment is processed asynchronously and may take a short time to complete; an enrollment or purchase is not final until fulfillment completes.
5.2 Check-in. The Service offers self check-in and Organization-run check-in, including shared check-in devices ("kiosks") operated by Organizations at their facilities. Kiosk screens display limited roster information (first names and initials) to people physically present; Organizations control those devices and that display. To keep working through network interruptions, kiosk devices store a snapshot of the current session's roster and any check-ins recorded while offline, as described in our Privacy Policy. Organizations are responsible for securing and wiping the devices they operate as kiosks.
5.3 Waitlists. If a session is full, you may be able to join its waitlist. Waitlist offers are normally made in order of queue position; the Organization manages its waitlist and may adjust the queue or offer a spot directly. If you are offered a spot, you must claim it within the claim window set by the Organization (between 1 and 72 hours; typically 24 hours). An unclaimed offer expires at the end of the claim window and cannot be claimed after that; the spot then becomes available to the next person in line. An expired offer is not a charge — you pay only if and when you claim a spot.
6. Payments, Packages, and coupons
6.1 Payment processing. Payments through the Service are processed by Stripe. Your card details are entered directly with Stripe and are never stored on ChronoAdmin's servers. ChronoAdmin collects payments as a limited payment-collection agent of the Organization (Section 13): your payment to ChronoAdmin satisfies your payment obligation to the Organization for that purchase. Charges will appear on your statement under our statement descriptor CHRONOADMIN. Organizations may also record enrollments paid outside the Service (for example, cash or invoice); those payments are solely between you and the Organization.
6.2 Packages. Packages are offered and priced by each Organization. A Package's credits, price, and validity period are fixed at the time of purchase; later changes by the Organization do not affect Packages you already bought. Package credits expire at the end of the stated validity period and, except where the law requires otherwise, expired or unused credits have no cash value and are not redeemable for money. Organizations may grant complimentary Packages at their discretion.
6.3 Coupons. Coupons and discounts are created by Organizations, may carry eligibility conditions, usage limits, and expiration dates, and may be modified or discontinued prospectively at any time. A coupon has no cash value.
7. Cancellations, refunds, and chargebacks
7.1 Cancelling an enrollment. You may cancel an enrollment at any time. Whether a cancellation is eligible for a refund or credit depends on whether you have checked in and on the Organization's cancellation window (a period before the session's scheduled start time, set by the Organization between 0 and 168 hours; typically 24 hours):
- Eligible (you have not checked in, and you cancel before the cancellation window begins): if you paid with a Package credit, that credit is restored; if you paid by card, the payment is refunded in full to the original payment method (or, if the charge was still pending, it is cancelled rather than collected). If your card charge was still pending when you cancelled, any coupon you used is released for reuse if its terms allow; a coupon applied to a completed payment is not restored when that payment is refunded.
- Not eligible (you cancel inside the cancellation window, or after checking in): the enrollment is cancelled but no refund or credit is issued (except that a card charge still pending at cancellation is cancelled rather than collected, and any coupon you used with it is released).
Refund eligibility is calculated from the schedule times published by the Organization. Partial refunds and pro-rated refunds are not offered.
7.2 Package purchase refunds. If a Package purchase is refunded, the Package is revoked immediately: remaining credits are cancelled and the Package expires. Credits already spent stay spent.
7.3 Sessions cancelled by the Organization. If an Organization cancels a session or removes you from one, the Organization is responsible for determining and providing an appropriate remedy — such as a refund of your card payment or restoration of your Package credit. Contact the Organization (or us at support@chronoadmin.com, and we will coordinate with the Organization) about remedies for Organization-initiated cancellations.
7.4 Contact us first; chargebacks. If you believe a charge is incorrect, contact support@chronoadmin.com and the Organization first — most issues are resolved quickly through the refund process above. If you initiate a payment-card dispute for a charge that the refund process could have addressed, we may suspend the related account while the dispute is investigated and may contest disputes we believe are invalid.
8. Organization Services; assumption of risk
8.1 The Organization — not ChronoAdmin — provides every class and activity you book through the Service. Any dispute about an Organization Service (its quality, safety, schedule, conduct of staff, or anything else) is between you and the Organization. We are not obligated to mediate, though we may assist voluntarily.
8.2 PHYSICAL ACTIVITIES — INCLUDING DANCE, FITNESS, GYMNASTICS, AND SIMILAR CLASSES — CARRY INHERENT RISKS, INCLUDING THE RISK OF SERIOUS BODILY INJURY, DISABILITY, OR DEATH. BY BOOKING OR ATTENDING AN ORGANIZATION SERVICE, YOU ACKNOWLEDGE THOSE INHERENT RISKS AND VOLUNTARILY ASSUME THEM FOR YOURSELF AND ANY MINOR ON WHOSE BEHALF YOU ACT. CONSULT A PHYSICIAN BEFORE BEGINNING ANY PHYSICAL ACTIVITY PROGRAM. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT THE ORGANIZATION, AND NOT CHRONOADMIN, IS RESPONSIBLE FOR INJURIES, DAMAGES, OR LOSSES ARISING OUT OF ORGANIZATION SERVICES. Nothing in this section limits liability for ChronoAdmin's own gross negligence, willful misconduct, or fraud, or waives rights that cannot be waived under applicable law (see Sections 15.3 and 15.4).
9. Waivers and electronic signatures
9.1 Organization waivers. Organizations may require you to sign a liability waiver or similar document before enrolling. Each waiver is a contract solely between you and the Organization. The Organization authors its waiver; ChronoAdmin does not draft, review, or provide legal advice about waiver content and makes no representation about any waiver's enforceability or legal sufficiency. If a waiver's text changes, you may be asked to sign the new version.
9.2 Electronic signatures and records. By accepting these Terms as described in Section 1, or by electronically signing a document through the Service, you consent to transact electronically with ChronoAdmin and the Organizations you interact with, and you agree that your electronic acceptance and signatures have the same effect as ink signatures, consistent with the U.S. E-SIGN Act and applicable state law. This consent covers the documents and records associated with your use of the Service (including waivers, these Terms, and account and transaction records). Using the Service requires a current web browser (or our mobile app) and access to the email address on your account; there is no charge for electronic delivery. We retain records of signed waivers (the signed text version and timestamp) and will make them available to the relevant Organization upon request. You may request free paper copies of documents you signed, or withdraw your consent to electronic transactions, by contacting support@chronoadmin.com; withdrawing consent may prevent further use of features that require electronic signing.
Part B — Terms for Organizations
10. Subscriptions and platform fees
10.1 Fees. Use of the Service by Organizations is offered at the fees and plan tiers published on our pricing page or otherwise agreed in writing. Except as expressly stated in these Terms or required by law, platform subscription fees are non-refundable.
10.2 Renewal and cancellation. If you purchase a subscription that renews automatically, we will — before you are charged — clearly disclose the renewal price, billing period, and how to cancel; obtain your affirmative consent to the automatic renewal; send a confirmation with cancellation instructions; and allow you to cancel online at least as easily as you signed up. For subscription terms of one year or longer, we will send a reminder before renewal. Cancellation stops future renewals; it does not retroactively refund the current period except where required by law.
10.3 Changes to fees. We may change subscription fees prospectively with at least 30 days' notice; changes take effect at your next renewal.
11. Organization Content, data, and responsibilities
11.1 Your content and data. As between you and ChronoAdmin, your Organization owns its Organization Content and the Participant data it enters into the Service. You grant ChronoAdmin a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit Organization Content and such data solely to provide, maintain, secure, and improve the Service. ChronoAdmin may use aggregated or de-identified data that does not identify any person or Organization for analytics and service improvement.
11.2 Data protection roles. For Participant data you enter or collect through the Service, you are the controller (or "business" under applicable law) and ChronoAdmin processes it as your service provider, as described in the Privacy Policy. You are responsible for the accuracy and lawful collection of that data.
11.3 Organization warranties. You represent and warrant that:
- (a) you operate your business lawfully, hold all required licenses and registrations, and maintain insurance appropriate to your activities;
- (b) you have the legal authority and any required consents to enter each Participant's information into the Service — including, for minors, all parental or guardian consents required by applicable law (such as COPPA and state laws governing children's data);
- (c) your waivers, policies, and Organization Content comply with applicable law, and you own or have rights to all content you enter or upload;
- (d) for any communications you send to Participants through or in connection with the Service, you have obtained all consents required by applicable law (including the TCPA and CAN-SPAM Act) and will honor opt-outs;
- (e) if your waiver or other forms collect health-related information, you are responsible for compliance with laws governing that information (including state consumer-health-data laws), and you will not use the Service to collect health information beyond what your own compliance posture supports;
- (f) you will secure any shared or kiosk devices you operate and limit who can access them.
11.4 Termination and data return. After termination of your Organization's use of the Service, we will, upon written request made within 30 days, provide a copy of your Organization's data in a commonly used machine-readable format, and thereafter delete or de-identify it in the ordinary course, subject to legal retention obligations (including payment records).
12. Organization indemnification
You will defend, indemnify, and hold harmless ChronoAdmin and its members, managers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Organization Services, including personal injury, death, or property damage occurring at or arising from them; (b) your Organization Content and waivers; (c) your treatment of minors and children's data; (d) communications you send to Participants; (e) your violation of law or of these Terms; or (f) taxes on your Organization Services as described in Section 13.5. We will promptly notify you of any claim and may participate in the defense with our own counsel at our expense. You may not settle any claim that imposes obligations on ChronoAdmin without our written consent.
Payments infrastructure (all users)
13. Payment collection; remittances; taxes
13.1 Role. ChronoAdmin collects Participant payments for Organization Services through its own payment account with Stripe, acting as each Organization's limited agent solely for payment collection. Payment received by ChronoAdmin discharges the Participant's payment obligation to the Organization for that purchase.
13.2 Remittance. ChronoAdmin will remit collected amounts to the Organization, less applicable platform and processing fees, on the schedule agreed with the Organization. We may withhold or set off amounts reasonably needed to cover refunds, chargebacks, fees, or amounts the Organization owes us, and may hold funds associated with disputed or suspected-fraudulent transactions pending resolution.
13.3 Refund execution. Refunds follow Section 7 and the Organization's configured cancellation window, and are executed by ChronoAdmin through Stripe. The economic cost of refunds and chargebacks attributable to an Organization's services is borne by that Organization.
13.4 Chargebacks. Chargebacks and payment disputes are governed by card-network rules. The Organization authorizes ChronoAdmin to respond to, contest, or accept disputes concerning its transactions, and to debit or set off dispute amounts and associated fees as described in Section 13.2.
13.5 Taxes. Each Organization is responsible for determining the taxability of its Organization Services and for its own tax obligations. Where ChronoAdmin is legally required to collect or remit taxes on transactions it processes, it may do so, and may require Organizations to provide tax documentation (such as IRS Form W-9) and may issue information returns where required. Participants are responsible for any taxes stated at checkout.
14. Acceptable use, content, and intellectual property
14.1 Acceptable use. You will not: use the Service to violate law or the rights of others; probe, disable, or circumvent security or access controls; access data or accounts you are not authorized to access; interfere with the Service's operation; scrape or bulk-extract data; misrepresent your identity or affiliation; or upload malicious code. We may remove content or suspend access that we reasonably believe violates these Terms, with notice where practicable.
14.2 Our IP. The Service, including its software, design, and branding, is owned by ChronoAdmin or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service as permitted by these Terms. If you send us feedback or suggestions, we may use them without restriction or obligation.
14.3 Copyright complaints (DMCA). If you believe content on the Service infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to our designated agent: Chrono Admin LLC, Attn: DMCA Agent, legal@chronoadmin.com. We respond to compliant notices, accept counter-notices as provided by law, and terminate the accounts of repeat infringers in appropriate circumstances.
15. Disclaimers; limitation of liability
15.1 Service provided "as is." EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND CHRONOADMIN DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do stand behind what we actually do: we will process payments as described in these Terms, maintain signed-waiver records as described in Section 9.2, and implement the security measures described in our Privacy Policy — while no service can guarantee absolute security or availability. ALL WARRANTIES REGARDING ORGANIZATION SERVICES ARE DISCLAIMED ENTIRELY; ORGANIZATION SERVICES ARE PROVIDED BY ORGANIZATIONS, NOT BY CHRONOADMIN. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
15.2 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) CHRONOADMIN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (b) CHRONOADMIN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID TO CHRONOADMIN IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (ii) ONE HUNDRED U.S. DOLLARS (US $100).
15.3 What this section does not limit. Nothing in these Terms excludes or limits liability for ChronoAdmin's gross negligence, willful misconduct, or fraud; amounts ChronoAdmin is obligated to remit to an Organization under Section 13; either party's indemnification obligations; or any liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; in those jurisdictions, the above limitations apply only to the extent permitted.
15.4 New Jersey residents. No provision of these Terms is intended to limit any right you may have under the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act, and no limitation in these Terms applies to claims for personal injury caused by ChronoAdmin's own gross negligence or willful misconduct. For New Jersey residents specifically: the sentences in Sections 15.1 and 15.3 referring to "some jurisdictions" apply in New Jersey as follows — the implied-warranty exclusions in Section 15.1 and the damages limitations in Section 15.2 apply to you except to the extent New Jersey law prohibits them, and they do not exclude or limit liability for ChronoAdmin's gross negligence, willful misconduct, or fraud, or any other liability that New Jersey law does not permit to be excluded or limited.
16. Participant indemnification
If you are a Participant, you will indemnify ChronoAdmin against third-party claims arising from your violation of law or your unauthorized use of the Service. A parent or guardian who accepts these Terms for a minor is responsible for the minor's use and any breach of these Terms by the minor.
17. Dispute resolution — binding arbitration and class waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. YOU MAY OPT OUT WITHIN 30 DAYS (SECTION 17.7).
17.1 Informal resolution first. Before starting arbitration or any court proceeding, the party with a dispute must send the other a written notice describing the dispute and the relief sought (to us: legal@chronoadmin.com, or the mailing address in Section 20.5; to you: your account email). The parties will try in good faith to resolve the dispute within 60 days of the notice. This is a condition to starting arbitration.
17.2 Agreement to arbitrate. Except as provided in Sections 17.3 and 17.7, you and ChronoAdmin agree to resolve all disputes arising out of or relating to these Terms or the Service through final, binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (and, where applicable, its Mass Arbitration Supplementary Rules) then in effect. The Federal Arbitration Act governs this section. The arbitrator will be selected under AAA's rules, and arbitration fees will be allocated as those rules provide. Arbitration will take place in the county where you live, remotely by videoconference, or at another mutually agreed location.
17.3 Small-claims carve-out. Either party may instead bring an individual claim in small-claims court if it qualifies there. Either party may also seek injunctive relief in court for infringement or misuse of its intellectual property or for unauthorized access to its systems or accounts.
17.4 Class action and jury waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND CHRONOADMIN EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. If this class waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court, and the remainder shall be arbitrated.
17.5 Coordinated filings. If 25 or more similar demands are filed by or with the assistance of coordinated counsel, the AAA's Mass Arbitration Supplementary Rules apply. Each demand remains an individual arbitration: no decision in any arbitration binds anyone who was not a party to it, and every claimant retains notice and the opportunity to be heard in their own proceeding.
17.6 Prospective changes. We will not apply changes to this Section 17 to disputes noticed, or claims that accrued, before the change's effective date. If we materially change this Section, you may reject the change by written notice within 30 days, in which case the prior version applies to you.
17.7 30-day opt-out. You may opt out of this arbitration agreement entirely by emailing legal@chronoadmin.com within 30 days of first accepting these Terms, with your name, account email, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
18. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs Section 17. Claims not subject to arbitration must be brought in the state or federal courts located in Sacramento County, California, and the parties consent to their jurisdiction. Nothing in this section deprives you of protections of the consumer laws of the state where you live that cannot be waived by contract.
19. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' advance notice (by email to your account address and/or a prominent notice in the Service) with the new effective date. Changes apply prospectively only — they do not apply to disputes noticed, or claims that accrued, before the effective date. If you do not agree to a change, stop using the Service (and, for subscriptions, cancel) before the effective date; continued use after the effective date constitutes acceptance. Section 17.6 governs changes to the arbitration provision.
20. Termination; miscellaneous
20.1 Termination. You may stop using the Service and close your account at any time (see the Privacy Policy for deletion). We may suspend or terminate access for breach of these Terms, suspected fraud or abuse, legal risk, or extended non-payment, with notice where practicable. Sections that by their nature should survive (including 8, 9.2, 11.4, 12, 13, and 15–20) survive termination.
20.2 Third-party services and app stores. The Service depends on third-party services (including Stripe for payments and Google for optional sign-in), each governed by its own terms. If you use our mobile apps, the app store providers (Apple, Google) are not parties to these Terms and are not responsible for the Service; to the extent required by their agreements, they are third-party beneficiaries of the license terms applicable to the mobile apps.
20.3 Electronic communications. You consent to receive service and account communications from us electronically (email and in-Service notices); they satisfy any legal requirement of written communication. Marketing communications, if any, are governed by the Privacy Policy and require your consent where the law demands it; every marketing message will include an unsubscribe mechanism.
20.4 General. These Terms, together with the Privacy Policy and any terms expressly incorporated, are the entire agreement between you and ChronoAdmin about the Service. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect (subject to Sections 17.4 and 17.6). We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. Our failure to enforce a provision is not a waiver. Neither party is liable for delay or failure caused by events beyond its reasonable control. Translations of these Terms are provided for convenience; the English version controls in case of conflict.
